The Wall Street Journal Confidentiality Agreement Statement(Required) By checking this box, I agree and accept to the foregoing terms and conditions of the Confidentiality and Non-Disclosure Agreement in their entirety listed.
In connection with, and as consideration for, your participation in the Dow Jones & Company, Inc. (“WSJ”) sponsored AMA Collegiate Case Competition (the “Competition”), by participating in the competition, the undersigned (“Author” or “you”) for good and valuable consideration agree that any and all materials relating to presentations, documents, information, ideas, inventions, designs, drawings, concepts, proposals, software, source code, object code, specifications, records, compilations, artistic works, photographs, videos, data, names, trademarks, logos, writings, works of authorship, reports and electronic media diskettes materials and products, created by Author as part of the Competition and any other aspect of the case entry (collectively, “Materials”) shall become the sole and exclusive property of WSJ and its successors, licensees. Accordingly, you hereby assign, transfer, and grant WSJ and its successors, licensees, and assigns all of Author’s worldwide right, title and interest in and to all Materials to use in any manner that it deems fit, including but not limited to all worldwide rights of copyright under the laws of the United States and any renewals, extensions or revivals thereof and the right to secure copyright under the laws of any other country, throughout the world, and the right to sue and to bring any action or proceeding with respect to said Materials. You acknowledge and agree that any and all Materials made or created by you in connection with the Competition, including, without limitation, copyrights in any Materials, are works produced for hire and constitute the sole property of WSJ. You hereby irrevocably relinquish and forever waive for the benefit WSJ any “Moral Rights” (defined as either any right to claim authorship of a work or any right to object to any distortion or other modification of a work, or any similar right existing under the law of any country in the world or under any international agreement) in any work of authorship. In addition, you hereby authorize WSJ to use your name with any and all of these Materials for informational, historical or commercial (including advertising) purposes in any and all forms of media including, without limitation, television, print, internet, etc. As a participant in the Competition, you may receive “Confidential Information” relating to WSJ including, by way of example and without limitation, new products, commercial plans, data, know-how, formulae, processes, designs, sketches, photographs, plans, drawings, specifications, samples, reports, customer, pricing information, studies, findings, inventions, mailing lists, ideas, any terms, conditions or arrangements discussed or the like, whether written, oral, electronic, recorded on tapes or in any other media or format. To the extent practical, Confidential Information shall be disclosed by WSJ, if at all, in documentary or tangible form marked “Proprietary” or “Confidential.” In the case of disclosures in non-documentary form made orally or by visual inspection, WSJ shall have the right, or if requested in writing by you in advance of the disclosure, the obligation to confirm in writing the fact and general nature of each disclosure. In the event that WSJ discloses Confidential Information to you, you agree that you: (1) will hold the Confidential Information in confidence by using the same degree of care, but not less than a reasonable degree of care, as you use or would use to protect your own confidential information; (2) will take such steps as may be reasonably necessary to prevent disclosure of the Confidential Information to others; (3) will not commercially utilize the Confidential Information without having obtained the written consent of WSJ; (4) upon request, will return Confidential Information to WSJ, and (5) shall promptly notify WSJ in the event that you are legally required to disclose any portion of the Confidential Information, so that WSJ may take steps to protect its Confidential Information. The confidentiality and non-use commitments set forth above shall not extend to any portion of Confidential Information which is known to you at the time of your receipt of such information from WSJ; which is or becomes generally available to the public through no fault of yours; which corresponds in substance to that furnished you by This agreement is effective as of July 1, 2022 any third party having a bona fide right to do so and no confidential obligation to WSJ with respect to the information; or which corresponds to that furnished by WSJ to any third party on a non-confidential basis. You further agree that: (1) neither you nor WSJ has any obligation to purchase any service or item from each other; (2) neither you nor WSJ has an obligation to offer for sale products using or incorporating Confidential Information; and (3) you or WSJ do not intend that any agency or partnership relationship is created. AUTHOR SHALL INDEMNIFY, DEFEND AND HOLD WSJ HARMLESS FROM AND AGAINST ANY EXPENSE OR LIABILITY THAT MAY RESULT BY REASON OF ANY INFRINGEMENT OR CLAIM OF INFRINGEMENT OF ANY PATENT, COPYRIGHT OR TRADEMARK BASED UPON THE MATERIALS SUBMITTED HEREUNDER OR HOLD WSJ USE OR ACCEPTANCE OF THE MATERIALS. The parties agree that this Agreement is to be governed by and construed under the law of the State of New York without regard to its conflicts of law provisions. The parties further agree that all disputes shall be resolved exclusively in state or federal court in New York County, New York.
You understand that in order to participate in the competition, WSJ must receive a signed contract with every team members signature that participated and is part of the chapter team.
Additional Parties (volunteer judges) must hereby agree to the terms and conditions set forth in this confidentiality agreement and such is demonstrated with a digital/electronic signature below.
